Definitions:

 'BlindMatrix': The company providing the products/services
'The Client': The company or individual who has purchased products/services from 'BlindMatrix'.

BlindMatrix Software - Hardware maintenance is the 'The Client's responsibility. All systems and files should be backed up prior to installation or other services. Your Network Administrator must be present during Network installations to verify and manage the Network Interface. 'BlindMatrix' is not responsible for network performance issues that impact the system's operation. A good broadband connection is required to run 'BlindMatrix' Online. 'BlindMatrix' is not responsible for any slow connection speed and data loss at any point.

Any requests for additional work, or changes to the original scope of the proposal must be made in writing directly from ‘The Client’ to ‘BlindMatrix’ and you will be sent written quotation of any additional cost that may occur.  No verbal requests or authorizations will be considered.

Software support - Unless otherwise stated, 'BlindMatrix' support is annually renewable and offers unlimited direct line support to the Supported Users during the contractual hours of 9:30 to 5:00 Monday to Friday, excluding public holidays.  'BlindMatrix' support excludes any future technical updates to the software which may become available from time to time unless otherwise stated.  'BlindMatrix' support does not include the provision of on-site technical work, training or report modifications.

'BlindMatrix Online Software' - A mandatory cost of £250 per installed pc becomes due to 'BlindMatrix' 1 year after installation and will continue annually. 

Payment Terms - All payments made to 'BlindMatrix' are non - refundable, unless otherwise stated on the order form
Please note that any delay with payment terms will result in delay of Implementation. 
Full payment is required before products or services are handed over for 'The client' use.
The standard terms and conditions may be updated at any point in the future and 'BlindMatrix' reserves the right to notify you of this

Copyright and Licensing 
BlindMatrix Ltd. owns the copyright to 'BlindMatrix'. Unauthorized copying of any 'BlindMatrix' products or services is prohibited.  Subject to this Agreement, BlindMatrix Ltd. grants to you a License to download the Product for the sole purpose of enabling you to make use of the Product in accordance with this agreement, no other licensing rights are granted.

Website Design / Ecommerce Development / Content management System (CMS) 
‘BlindMatrix’ cannot take responsibility for any copyright infringements caused by materials submitted by the ‘The Client’. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
Any additions to briefs provided will be carried out at the discretion of ‘BlindMatrix’ and where no charge is made by ‘BlindMatrix’ for such additions, ‘BlindMatrix’ accept no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.
‘The Client’ agrees to make available all the materials required to complete the site to the agreed standard and within the set deadline.
‘The Client’ guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to ‘BlindMatrix’ for inclusion on the website above are owned by ‘The Client’, or that ‘The Client’ has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend ‘BlindMatrix’ from any liability or suit arising from the use of such elements.
‘BlindMatrix’ cannot take responsibility for any losses incurred by the use of the services provided to the ‘The Client’. Whilst every care has been taken to ensure the products are problem free and accurate, the ultimate responsibility lies with ‘The Client’ in ensuring everything is right before use. 
Where applications or sites are developed on servers not recommended by ‘BlindMatrix’, ‘The Client’ is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the application to be correctly developed. 
Whilst ‘BlindMatrix’ recommends hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service. ‘BlindMatrix’ cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service.

For ecommerce websites Technical support is free for the first 3 months from order. Thereafter is charged at £250 per year. 'The Client' provide Payment gateway and domain details and incur all costs. 99% uptime is guaranteed (based on our hosting server commitment) and the website will be hosted in our hosting server in UK.

‘BlindMatrix’ reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the hosting service should the necessity arise.
Additional Services not listed herein or in Proposal will be provided for additional charges.

Search Engine Rankings 
For the purposes of providing Search Engine Optimization (SEO) services, ‘The Client’ agrees to provide ‘BlindMatrix’:
FTP access to the main site for uploading new pages, and making changes for the purpose of optimization.
‘The Client’ authorizes ‘BlindMatrix’ use of all ‘The Client’ logos, trademarks, Web site images, etc., for use in creating informational pages and any other uses as deemed necessary by ‘BlindMatrix’ for search engine positioning and optimization. 
‘The Client’ acknowledges the following with respect to services:
‘BlindMatrix’ has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. ‘The Client’ site may be excluded from any search engine at any time at the sole discretion of the search engine. (‘BlindMatrix’ will optimize & resubmit those pages that have been dropped from the index.) 
Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms and other competitive factors, ‘BlindMatrix’ does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase or search term. 
Some search engines may take as long as 2 to 4 months, and in some cases longer, after submission to list your site. 
Occasionally, search engines will stop accepting submissions for an indefinite period of time. 
‘The Client’ is responsible for all other expedited listing service fees, example Yahoo, unless otherwise noted in the package ‘The Client’ purchases.
‘BlindMatrix’ is not responsible for changes made to the Web sites by other parties that adversely affect the search engine rankings of the ‘The Client’ Web sites. 
Additional Services not listed herein or in Proposal will be provided for additional charges.
‘BlindMatrix’ is not responsible for ‘The Client’ overwriting SEO work to ‘The Client’ websites.
